Terms of Service

Last updated: October 1, 2026

These Terms of Service form a legally binding agreement between you and Sueta FZE LLC governing your use of Fluenza. Please read them before subscribing.

1Introduction and Acceptance

These Terms of Service (the “Terms”) govern your access to and use of the Fluenza mobile applications, the fluenza.ai website, and everything we offer through them (together, the “Services”). The Services are operated by Sueta FZE LLC, a United Arab Emirates legal entity (“we”, “us”, or “our”).

By starting the quiz on our website, creating an account, purchasing a subscription, or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.

We may update these Terms from time to time. When we do, we will change the “Last updated” date above, and material changes will be notified to you in the app or by email before they take effect. Continuing to use the Services after a change takes effect means you accept the updated Terms.

2The Service

Fluenza is an English-learning app. It offers lessons, exercises, vocabulary practice, and conversational practice with an automated tutor, along with progress tracking and reminders. Some features are free; others require a paid subscription.

The Services are provided for education and self-study. We do not promise any particular outcome — a test score, a certification, or a level of fluency — and no part of the Services is a substitute for accredited instruction where one is required.

We may add, change, or remove features at any time. If we discontinue a paid feature you are actively subscribed to, we will either provide a comparable replacement or refund the unused portion of your term.

3Eligibility and Your Account

You must be at least 16 years old to use the Services, or older if the law where you live sets a higher age for consenting to the processing of personal data. By using the Services you confirm that you meet this requirement.

You sign in with your email address. That address is also how a subscription purchased on our website is matched to your account in the app, so it must be one you control and can receive mail at. You are responsible for keeping access to it secure and for everything done through your account.

Accounts are personal. Do not share, sell, or transfer your account or your subscription to anyone else.

4AI Services Disclaimer

Parts of the Services are generated by artificial intelligence, including conversational practice, corrections, explanations, and feedback on what you write or say.

AI output can be wrong. It can produce inaccurate grammar advice, invented facts, awkward or unidiomatic phrasing, and misreadings of what you meant. Treat it as practice material, not as authoritative instruction, and verify anything that matters — in particular anything you rely on for an exam, an application, or professional use.

Do not submit sensitive personal information, credentials, or confidential material to the AI features. How the underlying processing works, including which third-party providers are involved, is described in our Privacy Policy.

5Acceptable Use

You agree not to:

  • use the Services for anything unlawful, or in violation of any applicable export, sanctions, or data-protection law;
  • reverse engineer, decompile, scrape, or attempt to extract the source code, models, prompts, or training data behind the Services;
  • use automated means to access the Services, resell access to them, or use them to build a competing product;
  • upload content that infringes someone else's rights, or that is abusive, hateful, sexually explicit, or harmful to minors;
  • attempt to circumvent usage limits, authentication, payment, or any other technical measure we use;
  • interfere with the operation of the Services or with anyone else's use of them.

We may suspend or terminate access that breaches this section. Where the breach is not serious and can be fixed, we will normally warn you first.

6Subscriptions, Billing, and Refunds

Automatic renewal

Fluenza subscriptions renew automatically. Whatever plan you choose — for example monthly, every three months, or yearly — we charge the payment method on file at the start of each new term until you cancel, at the standard price for that term. The price of the first term, the standard price that applies afterwards, and the renewal interval are all shown on the payment screen before you pay.

Trials

Some offers start with a short trial. A trial is paid: its fee is charged when you start it. When the trial ends, the subscription renews automatically at the standard price and interval shown on the payment screen, unless you cancel before the trial ends. Each person can start a trial once.

Introductory pricing

Some offers include a discounted first term. The discount applies to the first billing period only. After it ends, the subscription renews at the standard price stated at checkout.

Cancellation

You can cancel at any time. Cancelling stops the next renewal; it does not end the term you have already paid for, and you keep access until that term runs out. How to cancel depends on where you bought the subscription — see our Refund and Cancellation Policy.

Refunds

Payments are non-refundable, except where the Services do not work because of a technical fault on our side that we could not fix, or where a refund is required by law. The conditions are set out in our Refund and Cancellation Policy, which forms part of these Terms.

Price changes

We may change subscription prices. A change never affects a term you have already been charged for: we will tell you before it applies to a renewal, and you can cancel before that renewal if you do not want to continue at the new price.

Taxes

Prices are shown in US dollars and may exclude taxes, which are added where required.

7Intellectual Property

The Services, including their lessons, exercises, audio, text, software, design, and the Fluenza name and logo, are owned by us or our licensors and are protected by intellectual property law. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Services for your own learning, for as long as these Terms are in force.

You keep ownership of what you submit — the text you write, the audio you record, the answers you give. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, and display that content for the purpose of operating and improving the Services, in line with our Privacy Policy.

8App Store Additional Terms

If you downloaded Fluenza from the Apple App Store or Google Play, these Terms are between you and Sueta FZE LLC only — not with Apple Inc. (“Apple”) or Google LLC (“Google”). Apple and Google are not responsible for the Services or their content.

We, and not Apple or Google, are solely responsible for support, maintenance, any product warranties, and for addressing claims that the app fails to conform to a legal requirement or infringes a third party's intellectual property rights.

Your use of the app must comply with the terms of the store you downloaded it from. Apple and Google are third-party beneficiaries of this section and may enforce it against you.

9Copyright Infringement (DMCA)

If you believe material available through the Services infringes your copyright, write to hello@sueta.co with:

  • your physical or electronic signature, as the copyright owner or someone authorised to act for them;
  • identification of the work you say has been infringed;
  • identification of the material in question and enough detail for us to find it;
  • contact details we can reach you at — an address, a telephone number, and an email address;
  • a statement that you believe in good faith that the use is not authorised by the copyright owner, its agent, or the law;
  • a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorised to act.

We remove infringing material when a valid notice is received, and we terminate the accounts of repeat infringers.

10Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUETA FZE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow these exclusions or limitations, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited by law.

11Dispute Resolution and Arbitration

Informal resolution first

Before starting formal proceedings, please contact us at hello@sueta.co. Most disputes about billing are resolved within a few days that way.

Mandatory arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration rather than in court. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. The seat, or legal place, of arbitration shall be the State of Delaware, United States, and the arbitration proceedings shall be conducted in the English language. Notwithstanding the foregoing, either party may bring an individual action in small claims court.

Opt-out right (30 days)

You may opt out of arbitration within 30 days of first accepting these Terms — by starting the quiz, creating an account, or purchasing a subscription, whichever came first — by written notice to hello@sueta.co.

Class action waiver

YOU AND SUETA FZE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Nothing in this section limits rights or remedies that cannot lawfully be waived under applicable law, including claims for public injunctive relief or other claims that must remain available in court, or the right of a consumer in the EEA, the UK, or another country whose law grants it to bring a claim in the courts where they live.

Governing law

These Terms shall be governed by the internal substantive laws of the State of Delaware, without respect to its conflict of laws principles. Nothing in these Terms limits mandatory consumer protection rights, statutory protections, or other non-waivable rights granted under the laws of your place of residence. If any provision of these Terms conflicts with such non-waivable law, that law controls solely to the extent necessary to resolve the conflict.

12Miscellaneous

These Terms, together with the Privacy Policy, the Cookie Policy, and the Refund and Cancellation Policy, are the entire agreement between you and us about the Services.

If any provision is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

Questions about these Terms go to hello@sueta.co.
